The $14 million term loan adds a separate source of committed financing with a more traditional amortizing or fixed-term structure. Together, the revolver and term loan provide $89 million of initial financing capacity.

The additional $50 million incremental feature gives Perma-Pipe the potential to expand the facility further if future financing needs increase and applicable conditions are satisfied. If fully utilized, the combined structure would provide up to $139 million of total capacity. Perma-Pipe plans to use the additional financial flexibility for working capital, letters of credit, strategic investments and expansion across its international markets. Letters of credit can be especially important for companies operating in infrastructure and industrial markets because customers, contractors and suppliers may require financial guarantees tied to large projects.

A global credit structure can help support those requirements while reducing the need to maintain separate banking facilities in each individual market. The financing also gives Perma-Pipe additional flexibility as it evaluates strategic investments. These could include investments in production capacity, geographic expansion, new technologies or other initiatives designed to increase the company’s ability to serve customers across energy, infrastructure and industrial markets. Perma-Pipe provides engineered piping systems, leak detection technologies and corrosion protection products.

Its products are used in applications where piping infrastructure must transport liquids or other materials reliably while operating under demanding environmental and industrial conditions. The company’s engineered systems can be used across energy infrastructure, district heating and cooling, industrial facilities and other projects requiring specialized piping solutions. Leak detection is an important component of these systems because customers need to identify failures or deterioration before they create larger operational, environmental or safety problems.

Corrosion protection is similarly important for extending the useful life of piping infrastructure, particularly in environments where exposure to moisture, chemicals or temperature changes can degrade materials over time. Perma-Pipe’s manufacturing and service footprint spans North America, the Middle East, North Africa, India and other international markets. That geographic reach creates both opportunities and financing complexity. Operating across multiple jurisdictions can require local working capital, different banking relationships, letters of credit and support for large customer projects.

P. Morgan facility is designed to consolidate more of those requirements within a single global financing framework. For management, that can improve visibility into available liquidity and make it easier to allocate capital across subsidiaries and regions. The transaction also gives Perma-Pipe a larger financial base from which to pursue growth. Infrastructure and energy projects can require substantial upfront investment before revenue is collected, making access to revolving credit particularly important.
