Artificial intelligence may be a software revolution, but the race to build it is increasingly constrained by something physical: electricity. High-performance GPUs draw enormous power, and access to already-energized industrial sites has become one of the scarcer advantages in the sector as developers compete to bring new computing capacity online. Shares of Volato Group, Inc. ( NYSE American: SOAR ) are surging Wednesday after the company announced a definitive agreement to merge with Alignment Engine, Inc. in a transaction valuing the AI infrastructure company at approximately $500 million.
SOAR will remain the publicly traded parent. Volato currently develops AI-powered software for aviation businesses, including operational tools built on its Parslee autonomous-work platform and its Vaunt private aviation membership marketplace. The merger repositions the company around AI infrastructure, high-performance computing and data center development. At the center of the transaction is Alignment Engine's powered industrial campus in Ohio. The site has 154 megawatts of power available today against a total capacity of 480MW, infrastructure the company says is designed to support high-performance GPU compute, AI training and inference, and other compute-intensive workloads.
Volato says the availability of power matters because AI infrastructure development increasingly depends on securing electrical capacity capable of supporting high-density computing environments. "We aren't starting with a greenfield site and a plan to find power," Alignment Engine Chief Executive Officer Chris Ensey said. "We have a powered industrial campus and 154MW available today with a path to 480MW of capacity." The deal follows a strategic shift Volato management signaled earlier. "When we announced our move into AI infrastructure, we said we were looking for an opportunity capable of fundamentally changing the scale and direction of Volato," said Matt Liotta, Chief Executive Officer of Volato.
"We have spent the intervening months working rather than talking. Alignment Engine is the result." Alignment Engine's platform combines powered data center infrastructure, high-performance GPU compute, advanced networking and proprietary technology. The company is headquartered in Ohio and is developing the campus as a next-generation AI compute facility. The parties expect to close shortly following execution of the definitive agreement, subject to the satisfaction or waiver of applicable closing conditions. Closing is not conditioned on Volato stockholder approval, though a stockholder meeting will be held later to address converting the convertible preferred stock issued to Alignment Engine shareholders into Volato Class A common shares.
