WARSAW - Zimmer Biomet has agreed to acquire the iovera pain therapy business from Pacira BioSciences Inc. in a deal valued at up to $140 million, expanding the Warsaw-based medical technology company's portfolio of non-opioid pain management products. The agreement includes a $70 million upfront payment and up to $70 million in additional revenue-based milestone payments through Dec. 31, 2031. The transaction is expected to close during the third quarter of 2026, pending customary closing conditions. As part of the acquisition, Zimmer Biomet will assume all rights to develop, manufacture and commercialize the FDA-cleared iovera system. The device uses cryoneurolysis, a drug-free treatment that applies targeted cold therapy to temporarily interrupt pain signals from specific nerves. The companies also plan to collaborate on advancing the system's spasticity program after the sale. Under the agreement, Pacira could receive additional compensation if the program successfully completes its registrational study and secures regulatory approval. The acquisition adds an established non-opioid pain management technology to Zimmer Biomet's product lineup and is expected to expand patient and provider access through the company's global commercial and distribution network.
