Highlighted: the lines this signal was extracted from

If you use Pulley (this is mostly for C Corp startups) as your cap table provider, make sure you transfer to another cap table provider ASAP. I would've missed this if it didn't get flagged to me by someone on my team. A lot of important docs there that help you track your ownership along with employee ownership and vesting. They are recommending Carta - but there's a few others out there too that can work fine.

  • [comment u/m0sur] I feel like Carta is such a monopoly in so many ways and verticals, it’s very hard to compete with it.

  • “I was wondering how long it would be until somebody mentioned the Pulley shutdown . For a company that raised a very large amount of money, it's surprising the fairly modest traction they managed to get. In theory, moving a cap table to another provider, particularly in the early stages of a company, should be pretty trivial.”

  • “this is a good reminder that cap table software is basically part of the companys legal plumbing, not just another dashboard. anyone know what the cleanest migration checklist is for option grants and 409A history?”

  • “Quick disclosure: I'm one of the co-founders of another cap table platform, so I'll do my best to keep this neutral. To ensure a seamless migration, do all of these before December 8 (shutdown deadline): Export every historical 409A as its own PDF so you have the complete history. Run a full export of your cap table (spreadsheet format). Save your actual signed securities such as SAFEs,”

  • “They had a decent product. We moved the cap table to Qapita earlier this year and they have been great. Doubt many now on Pulley would want to go back to Carta .”

  • “Disclosure: I run Cake, one of the alternatives. Not here to pitch, and amit's checklist above is solid. One addition that's specifically about the option grants question, because it can catche people: Standard vesting schedules export fine from Pulley. But any grant with a custom schedule comes out as "custom - see RSA for details," and the actual terms live in the signed grant letter, not the”
